Please read the delivery terms & conditions before proceeding. TERMS AND CONDITIONS FOR WEB PURCHASE AND DELIVERY WRAP PRODUCTS 1. Introduction BlueGiga Technologies Web site (https://www.bluegiga.com) usage is governed by the terms and conditions herein. Changes can be made to the Web site and to these terms and conditions from time to time, and such changes will become effective immediately when they are posted on the Web site. Please review these terms and conditions carefully. The products to be purchased on the Web site are directed to business purchasers as specified in clause 3. This Web site is consequently not directed to any other business purchasers or to consumers. If you are willing to accept them and proceed to order any products from the Web site, please choose the "I accept the delivery terms and conditions" option below. 2. Parties to the Agreement The parties to this agreement ("Agreement") shall be BlueGiga Technologies Oy ("BlueGiga"), whose registered office is at Taivalm�ki 11, FIN-02200 Espoo, Finland. BlueGiga is incorporated in Finland, with the registration number 0934238-1 and purchaser ("Purchaser") under the name registered on the BlueGiga Web site order form, with registered office as shown on the same order form completed by the Purchaser representative or by the Purchaser himself. 3 Agreement Formation When you accept these terms and conditions and complete the order form on the Web site, you and the company or other business purchaser make a irrevocable offer to BlueGiga to purchase the "Product", as identified in the order form ("Offer") and on the terms and conditions specified in this Offer or Agreement, which Offer is open for acceptance by BlueGiga. The Offer will become a binding agreement ("Agreement") between Purchaser and BlueGiga only if and when accepted by BlueGiga. BlueGiga reserves the right to accept or reject any Offer for any reason whatsoever. Furthermore, BlueGiga also reserves the right to limit quantities of Products purchased. BlueGiga's acceptance of an Offer will be constituted by a notice of acceptance transmitted by BlueGiga with e-mail or any other means to Purchaser, confirming acceptance of the Offer and specifying the expected date for delivery of the Product. BlueGiga's notice of acceptance will contain an order reference number, which Purchaser should quote on any correspondence concerning the Product. 4. Delivery & Retention of Title Products are subject to availability and are only available for purchase by business purchasers specified under clause 3 of this Agreement. Purchaser acknowledges that the dates specified for delivery in BlueGiga's notice of acceptance shall be regarded as indication dates only and shall not constitute a material term of the Offer or the Agreement and that delivery may be delayed due to factors beyond the control of BlueGiga and/or the carrier contracted by BlueGiga, including but not limited to events of force majeure. BlueGiga reserves the right to deliver Products at different times in the event that they are not available for shipment at the same time. In no event shall BlueGiga be liable for any direct, indirect, incidental or consequential losses or damages of any nature whatsoever, including, but not limited to, loss of data or data being rendered inaccurate, losses sustained by Purchaser or third parties such as loss of business, loss of profits, business interruption or personal injury, suffered by tthe Purchaser as a result of late delivery. The manual shipped by BlueGiga with each product either in paper form or in a CD-ROM is available in English language only. BlueGiga will pack and ship all Products in accordance with good commercial practices. All deliveries will be made by delivery during normal office hours DDU, import customs formalities included, (Incoterms 2000) to Purchaser's delivery address as specified in Purchaser's order, provided that Purchaser shall be liable for all costs, expenses, taxes and charges relating to shipping and handling according to clause 5. Notwithstanding any other provision of these terms and conditions, ownership of the Products shall transfer to Purchaser from BlueGiga upon BlueGiga's receipt of the total amount payable for the Products. 5. Price & Terms of Payment The prices payable for the Products are the prices quoted on the BlueGiga Web site on the date of Purchaser's order, which prices are quoted FCA (Incoterms 2000) BlueGiga, Finland, exclusive of applicable sales taxes, VAT and all costs, expenses, taxes and charges relating to shipping and handling. For the Products, Purchaser agrees to pay the above-mentioned price and all applicable sales taxes, VAT and other costs, expenses, taxes and charges (including but not limited to transportation charges, shipping insurance and duties, import fees and taxes), as specified in BlueGiga's invoice, within fourteen (14) days from the date of invoice. Purchaser acknowledges and agrees that BlueGiga, at its sole discretion, may make investigations into Purchaser's credit rating and otherwise procure the obtaining of information on Purchaser's solvency. Purchaser agrees that interest shall accrue on all moneys payable to BlueGiga under the Agreement that are not paid on or before fourteen (14) days from the date of BlueGiga's invoice. The interest shall accrue at a rate of ten (10) % per month (or, if less, the maximum allowed by applicable law) from the thirty-first (31st) day from the date of invoice to the date payment is actually made to BlueGiga and be compounded and payable on a monthly basis. 6. Purchaser's Representations & Warranties Purchaser and the individual acting on its behalf in this matter (i.e., preparing and submitting an order (an Offer) to BlueGiga) jointly and severally represent and warrant for the benefit of BlueGiga (a) that Purchaser possess the legal right and ability to make the Offer and to enter into the Agreement; (b) that the individual acting on Purchaser's behalf in this matter is at least eighteen (18) years of age and possess the legal right and ability to act on Purchaser's behalf in this matter; (c) that Purchaser is a business purchaser and not a consumer; and (d) that all information submitted to BlueGiga is true, accurate and current. 7. Software Any software included in the Product ("Software") is licensed; not sold. All ownership, title and intellectual property rights in and to such Software (if any) including any associated media and any documentation or printed materials are, and shall remain, owned by BlueGiga or its licensors and suppliers. Any use of the Software is subject to Purchaser's agreement to be bound by the terms and conditions of the license agreement ("License Agreement") that BlueGiga ships with each Product. The License Agreement constitutes and integral and material part of these terms and conditions and by accepting these terms and conditions and completing an order form on the BlueGiga Web site, Purchaser accepts also all the terms and conditions of the License Agreement. In addition by downloading or by otherwise using the Software the Purchaser shall be deemed to have repeated its agreement to be bound by the terms and conditions of the license agreement. 8. Limited Warranty & General Limitation of Liability The Purchaser should observe that the use of Bluetooth� technology is not allowed in certain countries. The Bluetooth trademarks are owned by Bluetooth SIG, Inc., USA, and are used by BlueGiga under license. As the product and the Bluetooth� profiles for the time being are under process to be filed as Bluetooth� demo products and thus are not fully tested to be Bluetooth� compliant, the Product may only be used by the Purchaser if and to the extent Purchaser is a professional business manufacturer or developer and as a demo product. BlueGiga warrants each Product to Purchaser for a 30-day period counted from the actual delivery date to Purchaser. The warranty covers physical faults in the hardware and the media on which the Software is delivered. The warranty is valid only if the Purchaser has notified BlueGiga of the defect within the 30-day warranty period. BlueGiga does explicitly not warrant the Software, operating system, profiles or any other software (BlueGiga or third party) included in the delivery. Subject to the terms and conditions of the warranty, Purchaser's sole remedy in case a Product fails to operate under normal use and service due to improper materials or workmanship, will be to return the Product and a written description of the failure and of the circumstances under which the failure occurs in English language to BlueGiga for, at BlueGiga's option, either repair or replacement. BlueGiga's total liability, whether for breach of agreement, warranty, negligence, strict liability in tort or otherwise, is limited to fifteen (15) percent of the price or license fee actually paid by the customer to BlueGiga for the particular product sold with respect to which losses or damages are claimed. In no event shall BlueGiga, its licensors or suppliers be liable for any indirect, incidental or consequential losses or damages of any nature whatsoever, including but not limited to loss of data,, data being rendered inaccurate, losses sustained by Purchaser or third parties such as loss of business, loss of profits, business interruption or personal injury to the fullest extent that can be disclaimed by law. The Purchaser may also have other rights, which may vary from country to country. 9. Export Restrictions Purchaser acknowledges that hardware and software included in the Product may be subject to applicable export control laws and regulations. Purchaser agrees not to export or re-export any such hardware or software, directly or indirectly, to any country not permitted by such export control laws and regulations without required export licenses. 10. Electronic Communication & Notices Purchasing at the BlueGiga Web site is conducted electronically and Purchaser agrees that BlueGiga can communicate with Purchaser electronically for example by e-mail. Purchaser also acknowledges that e-mail delivery is not infallible and receipt of notifications and orders cannot be guaranteed. Any notice or other communication required or permitted to be given under the Agreement shall be valid and effective only if in writing in the English language and given to Purchaser to the address, e-mail address or facsimile number specified in Purchaser's order hereunder and given to BlueGiga as specified regarding Support on the BlueGiga Web site. 11. Governing Law Purchaser's Offer as well as the Agreement, including the License Agreement, shall be governed by and construed in accordance with the laws of Finland. 12. Disputes Any dispute, controversy or claim arising out of or relating to this Agreement, or the breach, termination or validity thereof shall be finally settled by arbitration in accordance with the Arbitration Rules of the Finnish Central Chamber of Commerce. Purchaser may access the said rules at the Web site http://www.keskuskauppakamari.fi/english/2_english.html. All awards may if necessary, be enforced by any court having jurisdiction in the same manner as a judgment in such court. Notwithstanding the foregoing provisions, BlueGiga shall have the right, at its sole discretion, to refer the settlement of any dispute, controversy or claim arising from or in connection with this Agreement, including the license agreement, or the breach termination or invalidity thereof, to any competent court having jurisdiction over the Purchaser, in which case arbitration proceedings shall be excluded with respect to the relevant matter. 13. Entire Agreement These terms and conditions, including the terms and conditions of the License Agreement, sets forth and shall constitute the entire agreement between BlueGiga and Purchaser with respect to the subject matter hereof, and shall supersede any and all prior agreements, understandings, promises and representations made by one party to the other concerning the subject matter.
